Terms of Service
LabMatrix AI — a product of ShiningStar Technologies (sole proprietorship)
These terms take effect on the date above and govern your use of LabMatrix. For any question, data request, or grievance, email founder@labmatrixai.com.
1. Agreement
These Terms of Service (“Terms”) govern your access to and use of the LabMatrix AI platform (“Platform”, “Service”), operated by ShiningStar Technologies (“we”, “us”; the “Operator”). By accessing or using the Service, the laboratory (“Customer”, “you”) and its authorised users agree to these Terms. If you do not agree, do not use the Service.
2. Definitions
- Customer / Laboratory — the pathology laboratory or diagnostic centre that subscribes to or pilots the Service.
- Authorised Users — staff the Customer permits to access the Service (e.g., receptionist, technician, pathologist, owner).
- Customer Data — all data the Customer or its users enter or generate through the Service, including patient and clinical data.
3. The Service
LabMatrix is a multi-tenant software platform for pathology-laboratory operations — patient registration, test ordering, sample tracking, result entry/validation/approval, report generation, billing, and related features, including AI-assisted tools.
4. Pilot / design-partner terms
If you are using the Service as part of a free design-partner pilot, the Service is provided at no charge in exchange for your feedback. During the pilot the Service is provided “as is”, may change, and is not offered with a formal uptime or support commitment. Either party may end the pilot at any time on reasonable notice; on request, we will help you export your data.
5. Accounts & security
- Access uses one-time-password (OTP) authentication. You are responsible for keeping access to your registered phone/credentials secure and for activity under your accounts.
- You agree to provide accurate information and to ensure your Authorised Users are appropriately permissioned for their role.
- Notify us promptly of any unauthorised access or security incident.
6. Acceptable use
You agree not to: (a) use the Service unlawfully or to process data you have no lawful basis to process; (b) attempt to access another tenant’s data; (c) reverse-engineer, copy, or resell the Service; (d) upload malware or attempt to disrupt the Service; or (e) use the Service to infringe any third party’s rights.
7. Data roles & responsibilities (DPDPA)
For patient personal data, the Customer is the Data Fiduciary and the Operator is the Data Processor. Accordingly:
- The Customer is responsible for collecting patient data lawfully, providing notice, and obtaining and managing valid patient consent (including parental/guardian consent for children).
- The Operator processes patient data only on the Customer’s instructions and in line with the Privacy Policy.
- Both parties will comply with the Digital Personal Data Protection Act, 2023 and the DPDP Rules, 2025.
8. Ownership of data & intellectual property
You own your Customer Data. You grant us a limited licence to host and process it solely to provide and support the Service. We own the Platform — all software, designs, and intellectual property in the Service — and grant you a non-exclusive, non-transferable right to use it during your subscription or pilot. No other rights are granted.
9. Fees
The design-partner pilot is free. Any future paid plans will be offered with advance notice and separate commercial terms; you are under no obligation to continue into a paid plan.
10. Clinical disclaimer — important
LabMatrix is a workflow and information tool, not a medical device or a provider of medical advice. All laboratory results, interpretations, and reports must be reviewed, validated, and approved by appropriately qualified laboratory professionals. AI-assisted features are advisory only and must not be relied upon as a substitute for professional clinical judgement. The Customer and its qualified personnel remain solely responsible for clinical decisions, diagnoses, the accuracy of results, and the content of reports issued to patients and doctors.
11. Warranties & disclaimers
Except as expressly stated, the Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted or error-free, particularly during the pilot.
12. Limitation of liability
To the maximum extent permitted by law, the Operator will not be liable for any indirect, incidental, special, or consequential loss, or loss of data, profits, or goodwill. During a free pilot, the Operator’s total aggregate liability arising out of or relating to the Service is limited to ₹0 (the amount paid). Nothing in these Terms excludes liability that cannot be excluded under applicable law.
13. Indemnity
You agree to indemnify the Operator against claims arising from your unlawful collection or use of personal data, your breach of these Terms, or the content of reports and clinical decisions made by you or your personnel.
14. Term & termination
These Terms apply while you use the Service. Either party may terminate on reasonable notice (or immediately for material breach). On termination, your right to use the Service ends; we will, on request and within a reasonable period, make your Customer Data available for export and then delete it, subject to any legal retention obligations.
15. Governing law & jurisdiction
These Terms are governed by the laws of India. Subject to applicable law, the courts at Barabanki, Uttar Pradesh will have jurisdiction over any dispute, without prejudice to any mandatory consumer-protection rights.
16. Changes
We may update these Terms from time to time. Material changes will be notified through the Platform or by email, and continued use after the effective date constitutes acceptance.
